Terms of Service
Effective: July 2, 2026
1. Agreement to These Terms
These Terms of Service ("Terms") constitute a binding legal agreement between you ("Account Holder," "you," or "your") and eTherm Solutions LLC, a Vermont limited liability company ("TrueLoad," "we," "us," or "our"), governing your access to and use of the TrueLoad web application, available at app.trueloadapp.com, and any related services, features, or content (collectively, the "Service").
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Service.
If you are using the Service on behalf of a firm, company, or other organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" include that organization.
2. Description of Service
TrueLoad is a software-as-a-service (SaaS) calculation tool that enables licensed electrical contractors and other qualified professionals to perform load calculations under National Electrical Code (NEC) Section 220.87 using Advanced Metering Infrastructure (AMI) interval data obtained from electric utilities. The Service generates reports intended to support permit applications and discussions with Authorities Having Jurisdiction (AHJs).
TrueLoad IS NOT:
- An engineering firm or licensed engineering service
- A provider of professional engineering advice, opinions, or certifications
- A guarantor of permit approval or AHJ acceptance of any report
- A substitute for the professional judgment of a licensed electrical contractor or engineer
All calculations, reports, and outputs generated by the Service are tools to support your professional work. You, as a licensed professional, are solely responsible for reviewing, verifying, and applying any output from the Service in accordance with applicable codes, standards, and your professional obligations.
3. Eligibility and Account Registration
3.1 Eligibility
The Service is intended for use by licensed electrical contractors, electricians, HVAC installers, and other professionals who hold applicable licenses or credentials in their jurisdiction. By registering for an account, you represent that:
- You are at least 18 years of age
- You hold, or are employed by or acting under the supervision of someone who holds, applicable professional licenses or credentials required to perform the electrical work for which you are using the Service
- You are using the Service in connection with your professional activities, not as a consumer
- All information you provide during registration is accurate and current
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@trueloadapp.com if you become aware of any unauthorized use of your account.
4. Subscription Plans and Payment
4.1 Available Plans
TrueLoad offers the following plans:
- Pay-Per-Use: $20 per project Results unlock. One charge per project; unlimited recalculations, views, prints, and report generation after unlock.
- Unlimited Monthly: $59 per month. Provides access to Results for all projects during the active subscription period.
- Enterprise: Custom pricing for firms with multiple seats. Governed by a separate Enterprise agreement or order form.
4.2 Free Trial
New users are eligible for one free Results unlock (the "Free Trial"). The Free Trial applies to whichever project you first unlock after account creation. The Free Trial is non-transferable and may only be redeemed once per account.
4.3 Payment and Billing
All payments are processed through Stripe, Inc. By providing payment information, you authorize us to charge your payment method for the amounts due. For monthly subscriptions, billing recurs automatically on the same day each month until you cancel. You are responsible for keeping your payment information current. By starting a monthly subscription, you give your express affirmative consent to recurring charges at the price and billing interval shown at checkout, and you acknowledge that the subscription continues until you cancel it. TrueLoad will charge the then-current fee on each renewal date. You may cancel at any time online through the Billing section of your Account Settings, without contacting support, and cancellation stops future charges.
4.4 Taxes
Prices are exclusive of any applicable sales, use, or other taxes. Where required by law, applicable taxes will be added to your invoice at checkout.
4.5 Cancellation and Refunds
You may cancel a monthly subscription at any time through the Billing section of your Account Settings. Cancellation takes effect at the end of the then-current billing period; you retain access through the period you have paid for. Per-project unlocks are non-refundable once a Results unlock has been redeemed. We do not offer refunds on monthly subscription fees for partial periods. If you believe a charge was made in error, contact us at support@trueloadapp.com within 30 days.
4.6 Plan Changes
You may upgrade from Pay-Per-Use to an Unlimited Monthly plan at any time. Previously unlocked projects remain accessible regardless of plan changes. Downgrading from Unlimited to Pay-Per-Use takes effect at the end of the current billing cycle.
5. AMI Data and Customer Authorization
The Service facilitates the collection of AMI interval data from electric utilities on behalf of the Account Holder and with the authorization of the utility customer (the end customer whose electrical service is being evaluated). By using the AMI authorization and data upload features of the Service, you agree to the following:
- You will obtain valid, informed consent from the utility customer before initiating any AMI data request or uploading any AMI data file to the Service on their behalf. The consent must identify the data being released, the purpose of the release, and the parties who will receive the data. You will capture that consent through the Service's authorization flow or retain a written record of it, and you will provide a copy to TrueLoad or the utility on request.
- You represent that the utility customer has authorized you to access, share, and process their utility interval data for the purpose of performing an NEC 220.87 load calculation for the specific project identified in the Service.
- You will use AMI data obtained through the Service solely for the purpose of performing load calculations for the project for which the data was obtained.
- You will not upload AMI data for a customer without their knowledge or consent.
- You are responsible for compliance with any applicable utility terms of service, data access agreements, or customer authorization requirements governing the AMI data you submit to the Service.
TrueLoad stores AMI interval data on secure servers as necessary to provide the Service. See our Privacy Policy for details on data handling and retention.
6. Professional Responsibility and Limitation on Reliance
THIS SECTION IS CRITICAL. PLEASE READ IT CAREFULLY.
TrueLoad is a calculation tool. Its outputs — including PASS/FAIL results, demand figures, headroom calculations, and generated reports — are computational outputs based on the data you enter and the NEC 220.87 methodology implemented in the Service.
You, as a licensed professional, are solely responsible for:
- Verifying that the data you enter into the Service (equipment nameplate values, AMI data files, service ratings, and all other inputs) is accurate and complete
- Reviewing and validating the Service's output before submitting any report to an AHJ, utility, customer, or any other party
- Determining whether the NEC 220.87 methodology is appropriate for the specific project and jurisdiction
- Compliance with all applicable codes, standards, and regulations governing the electrical work
- Your professional obligations under your license and any applicable state or local rules
AHJ ACCEPTANCE IS NOT GUARANTEED. Different AHJs interpret and apply NEC 220.87 differently. A report generated by TrueLoad that meets the NEC 220.87 methodology does not guarantee approval by any particular AHJ. TrueLoad makes no representation that any AHJ will accept a report generated by the Service.
ELECTRICAL SAFETY. Electrical work involves significant safety risks. TrueLoad's outputs are one input into your professional assessment. Never rely solely on TrueLoad's output when making electrical safety determinations. You are responsible for ensuring that all electrical work is performed safely and in compliance with applicable standards.
PROFESSIONAL OF RECORD. You are the licensed professional of record for any permit application, report, or submission that incorporates output from the Service. TrueLoad does not engage in the practice of engineering and does not act as the engineer or contractor of record for any project. TrueLoad provides data and calculation software only. The licensed professional who signs and submits a report bears full professional responsibility for it.
7. Intellectual Property
7.1 TrueLoad IP
The Service, including its software, algorithms, user interface, design, documentation, and all content created by TrueLoad, is owned by eTherm Solutions LLC and is protected by copyright, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely as described in these Terms. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from any part of the Service.
7.2 Your Data
You retain ownership of all project data, customer information, and other content you upload or enter into the Service ("Your Data"). By uploading Your Data, you grant TrueLoad a limited license to store, process, and use Your Data solely as necessary to provide the Service to you. We do not sell Your Data to third parties.
7.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service, without any obligation to you.
8. Acceptable Use
You agree not to use the Service to:
- Submit false, inaccurate, or fabricated data in order to generate a misleading report
- Perform calculations for projects you are not authorized to work on
- Upload AMI data without the utility customer's consent
- Circumvent, disable, or interfere with the Service's security, access controls, or billing features
- Use automated scripts, bots, or scrapers to access the Service
- Resell, sublicense, or otherwise make the Service available to third parties (except as permitted under an Enterprise plan)
- Violate any applicable laws, regulations, or professional codes of conduct
We reserve the right to suspend or terminate accounts that violate these provisions.
9. Enterprise Accounts and Firm Members
Enterprise plans allow firms to purchase seats for multiple users. The firm administrator is responsible for managing member access, ensuring that all members comply with these Terms, and for all charges incurred under the firm's account. Firm members access the Service subject to the firm administrator's settings and these Terms. If a firm's subscription lapses or is canceled, firm members lose access to Results on new projects; previously unlocked Results remain accessible.
10. Termination
You may terminate your account at any time by contacting support@trueloadapp.com. We may suspend or terminate your access to the Service at any time for cause, including violation of these Terms, non-payment, or fraudulent use, with or without notice. Upon termination, your right to use the Service ceases. We will retain your data for 30 days after termination to allow you to export it, after which it may be deleted in accordance with our Privacy Policy.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRUELOAD DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any calculation output is correct, complete, or suitable for any particular purpose. Electrical code interpretations embedded in the Service reflect TrueLoad's understanding of NEC 220.87 as of the effective date and may not reflect subsequent code changes, local amendments, or AHJ interpretations.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRUELOAD, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, PERMIT DENIAL, PROJECT DELAYS, PROPERTY DAMAGE, PERSONAL INJURY, OR COSTS OF SERVICE UPGRADE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF TRUELOAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT TRUELOAD'S LIABILITY CANNOT BE FULLY EXCLUDED, TRUELOAD'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO TRUELOAD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
Nothing in these Terms excludes or limits TrueLoad's liability for fraud, for willful misconduct, or for any other liability that cannot be excluded or limited under applicable law.
13. Indemnification
You agree to defend, indemnify, and hold harmless TrueLoad and its owners, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms or applicable law; (b) any report, calculation output, or recommendation you provide to any third party based on the Service's output; (c) your violation of these Terms; (d) your violation of any applicable law or professional obligation; or (e) your submission of inaccurate data to the Service. This indemnity does not apply to claims to the extent they arise from TrueLoad's own gross negligence or willful misconduct.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Vermont, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Chittenden County, Vermont, and you consent to personal jurisdiction in those courts.
To the extent permitted by law, you and TrueLoad each waive any right to a jury trial. Any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative action. Either party may still bring a qualifying claim in small claims court.
Before initiating any legal action, you agree to contact us at support@trueloadapp.com and provide a written description of the dispute. We will attempt to resolve the dispute informally within 30 days. This informal resolution step does not limit either party's right to seek injunctive or other equitable relief in court to protect intellectual property or confidential information.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or by displaying a prominent notice in the Service. Continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service. Revised Terms apply only going forward. They do not govern a dispute that arose before the revision, and for an active paid subscription any material change takes effect at your next renewal.
16. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and TrueLoad regarding the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
Force Majeure. TrueLoad is not liable for any delay or failure to perform caused by events beyond its reasonable control, including utility outages, failures of third-party service providers, internet or hosting disruptions, natural disasters, labor disputes, or government action.
